Responsible Entity Services

 

Keystone Asset Management Limted (“KAM”) holds an Australian Financial Services Licence no. 491477 and acts as responsible entity and a trustee for registered and unregistered managed investment schemes.

In our role, we provide investment managers with continuous assistance in developing and operating schemes for investors. We can provide services such as: registration, compliance, administration and financial reporting in accordance with the scheme’s constitution and the Corporations Act 2001 (Cth). Promoters maintain active roles in their projects while benefiting from regular assistance from our responsible entity services.

As an Responsible Entity, KAM has a duty to:

  • Act honestly;

  • Exercise the degree of care and diligence that a reasonable person would exercise if they were in the Responsible Entity's position;

  • Act in the best interests of members of the scheme and, if there is a conflict between the members' interests and its own interests, give priority to the members' interests;

  • Treat all members with interests in the same class equally and members in different classes fairly;

  • Ensure the scheme has a constitution and compliance plan which meet regulatory and legal requirements;

  • Ensure that all scheme property is held separately from Responsible Entity Property and property of any other scheme; and

  • Report any breach, or likely breach of the Corporations Act, relating to their scheme, to ASIC.

Responsible Entities services and responsibilities can include:

  • Establishment of a constitution

  • Registration of the Scheme

  • Issuance of a product disclosure statement.

  • Creation and monitoring of a compliance plan

  • Compliance with annual auditing and reporting obligations.

  • Managing investor enquiries.

  • Managing an investment project or appointing a scheme’s operational manager.
